Fable Type Foundry’s End User Licence Agreement (“EULA”) becomes a binding contract between you and Fable Type Foundry when you commence a Font Software download, or if you acquire Font Software on a permanent medium, when you open the package in which the Software is contained. If you do not wish to be bound by the EULA, do not purchase, access, download and/or install or otherwise use the Font Software.

There is one (1) term that should be distinguished:
Full Licence (“Licence”) being the licence issued upon purchase of the Font Software.

Please read all of the EULA before agreeing to be bound by its terms and conditions.

Usage of Purchased Fonts

This Licence permits You to use the purchased font(s) on a maximum of 2 computers within your organisation. The Licence grants you permission to use the Font Software to create visual content in desktop applications such as Adobe InDesign, Illustrator or Photoshop. Content such as (for example, but not limited to): graphic designs, branding, advertising, artwork, book covers, clothing designs, business cards, logos, magazines, signage, packaging, posters or other printed designs. The Licence can be used to create content to represent yourself, an event, place, product, brand, company, or another person(s) in ways that will result in economic or material gains.


Format and Software

Font Software is supplied in the following formats: .OTF. You are not allowed to convert the format of the Font Software or edit the working file of the Font Software. If you need it in any other format, please contact us.


Full Licence Definition

The Full License grants you permission to use the Font Software to create visual content in desktop applications. The Full License can be used to create content to represent yourself, an event, place, product, brand, company, or another person(s) in ways that will result in economic or material gains.


Merchandising / Goods For Sale

Use of our Font Software for designing graphics for use on physical products such as clothing is allowed. Font Software from Fable Type Foundry can be used to produce any number of units as long as it is produced within the requirements of this EULA. We have no limits on the total number of copies or size of print.


Mobile Applications, Video Games, e-Books, Software and Hardware

The use of Font Software licensed from Fable Type Foundry excludes the use in mobile applications, video games, e-books, Software, devices and all other electronic programs, applications and interfaces. You may not embed or include Font Software in products such as applications for iOS (Apple), Android, Mobile Windows, video games or computer-based Software or hardware.

The Font Software must not be used in any form of digital interface or operating system such as (but not limited to) e-books, mobile phones, personal computers, electronic kiosks, gaming consoles, television interfaces, mobile applications, websites, or any other screen-based interface. Licence extensions are available to permit these usages. Please email us – type@fable.sg.


Modification

You agree not to edit, modify, reformat, translate, hack or otherwise discover the Font working files. You agree not to edit the copyright notices as contained in the Font Software code. Any manipulation, violation of use, or Font pirating activity will result in legal action and prosecution. You agree to not recreate or base your own Font on Fable Type Foundry Font Software character designs.


Licences

Fable Type Foundry does manually inspect all orders received on a daily basis. If we believe You have purchased the incorrect Licence, we reserve the right to contact You to confirm the correct use of the Font Software.


Ownership

Fable Type Foundry retains intellectual property rights, title and ownership of any of its electronic data provided by Fable Type Foundry. This title and ownership extend to copies of the data installed on any computer, downloaded to any output device, or retained on other media by you as a backup. This licence does not constitute an exclusive sale of the original product to you.

This Agreement does not grant you any right to patents, copyrights, trade secrets, trade names, trademarks (whether registered or unregistered), or any other rights, franchises or licences in respect of the electronic data. No rights are granted to you other than a Licence to use the electronic data on the terms expressly set forth in this Agreement. You further acknowledge and agree that the structure, organisation and code of the Font Software are valuable trade secrets and confidential information of Fable Type Foundry. The Font Software is protected by copyright including without limitation, by Singapore Law.

Font Software is not allowed to be shared between different companies, organisations, staff, work colleagues, friends, family, fellow students. Font Software is not allowed to be shared via any form of network or server unless requested. A licence can only be owned and used by one identity.

Font Software for Licence on Fable Type Foundry is the exclusive property of Fable Type Foundry. The Font Software is not sold to You. Fable Type Foundry provides You the ability to purchase a non-exclusive Licence, which permits You to use Font Software according to our EULA.

You are not allowed to modify any Font Software from Fable Type Foundry and distribute it to third parties or use it yourself. You agree that the construction, organisation and design of the characters within the Font Software are the exclusive property of each Font’s respective Designer. You acknowledge that all Font Software is internationally protected under the Digital Millennium Copyright Act, Trademark Laws, Copyright Laws and locally enforced laws.

Copyright Law, international treaty provisions, and applicable laws in the jurisdiction of use.


Restricted Uses

You are not allowed to supply the Font Software as a font option when third parties of your website, application, kiosk or service are designing a document, image, product or web page.

The use of Font Software in blasphemous material, illegal pornographic material, criminally deceptive material, dishonest material, anti-gay material, racist material or in any illegal industry of any kind / general malicious or hate activities is not allowed.


Broadcasting, Television, Movies, and Documentaries

The use of Font Software in cartoons, movies, feature films, television shows, special broadcasts, streaming service video content and documentaries is not allowed. Please contact us to purchase a Broadcasting / Gaming Licence extension.


Third Parties / Service Bureau / Printer Use

You are not allowed to use and/or share Desktop Licences and the Font Software between users or third parties. Each person / company who will use the Font Software must have a valid Licence in their name.

We suggest converting all text to outlines before supplying files to third parties for printing or production. The third party must purchase their own licence to make any changes.


Embedding Restrictions

You may make archival copies of the fonts for your own purposes, counting additionally to the number of devices you licensed the fonts for. You shall not distribute the fonts to people outside of your organisation. PDF embedding of the font Software into PDF documents is only allowed in a secured read-only mode that allows only printing and viewing, and prohibits editing, selecting, enhancing or modifying the text.

You must ensure that recipients of PDF documents cannot extract the Fable Type Foundry Font Software from such PDF documents or use the embedded Font Software for editing purposes or for the creation of new documents. This type of embedding may only be used in a non-commercial, not-for-profit scenario. If you are unable to limit access to the document to “printing and viewing” only, then the electronic document(s) may not be used on computers that are not Licensed Computers. Examples of non-commercial, not-for-profit allowed usage include PDF documents supplied to Service Bureaus, printers, or any documents that disseminate personal, internal or business information.


Disclaimer

Fable Type Foundry simply provides the Font Software "as is," and is not responsible for tech and/or design support. Fable Type Foundry makes no warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.


Limitation of Liability

This clause sets out Fable Type Foundry entire liability to you for (a) a breach of this Agreement and (b) any statement, representation, tortious act or omission (including negligence) arising under this Agreement.

This includes Fable Type Foundry’s liability for acts or omissions of our employees, agents, subcontractors or consultants.

Any and all other warranties, conditions or other terms implied by statue or common law are, as far as legally possible, excluded.

Fable Type Foundry shall not be liable for any loss of profits, goodwill, reputation, business, anticipated savings, contracts, goods, data (or corruption of that data) or any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses.

Fable Type Foundry cannot guarantee the performance or results You may achieve by using any Font Software licensed from Fable Type Foundry. You agree you are using the Font Software at your own risk. In no event under any circumstances can Fable Type Foundry be held responsible for any indirect, direct, incidental, special, punitive, or consequential damages in any form, including lost profits, legal action against you, lost money, lost material assets, failure of business performance or business interruption. Fable Type Foundry holds no responsibility for the manner in which Customers use Font Software licensed from Fable Type Foundry . Fable Type Foundry does not guarantee that the use of the Font Software will be unobstructed, uninterrupted or error-free. Fable Type Foundry cannot guarantee that Font Software is without construction errors, blemishes, mistakes or any fault of any kind.

In no event can Fable Type Foundry or any employee, contractor, owner or Designer be held responsible for construction errors, blemishes, mistakes or any fault of any kind in Font Software. In no event can Fable Type Foundry or any employee, contractor, owner or Designer be held responsible for personal injury or property damage of any possible nature resulting from the use of the Font Software. If you find an error with our fonts, please let us know and we will do our best to fix it for you as soon as we can.

Fable Type Foundry’s liability for all other claims which arise in connection with this Agreement shall be limited to the monies paid by you in the 12 months immediately preceding the date of the event giving rise to the claim.

Nothing in this section, or elsewhere in this Agreement, excludes or limits Fable Type Foundry’s liability for:
• death or personal injury resulting from negligence; or
• any damage or liability you incur as a result of fraud or fraudulent misrepresentation by Fable Type Foundry.


Termination

Without prejudice to any other rights or remedies which it may have, Fable Type Foundry may terminate this Agreement without liability to you immediately on giving written notice to you if:
• you commit any remediable material breach of its obligations under this Agreement which is not remedied within 30 days (or where the breach is in relation to a failure to pay any amount due, 7 days) after the service of written notice specifying the breach and requiring it to be remedied; or
• you commit any non-remediable material breach; or
• you become, in the reasonable opinion of Fable Type Foundry, unable to pay your debts.
On termination of this Agreement for any reason:
• you shall immediately and irretrievably delete the Font Software (including your archival copies) from your systems; and
• any licence granted shall immediately terminate.

Violation of the terms of this EULA will instantly cause your License to be terminated and legal action will be taken against You in a court of law to cover all damages. In the event of termination, You must delete the Font Software and assure no copies of the Font Software are in your possession or in use.

Fable Type Foundry reserves the right to terminate your Licence at any time if You violate any of the terms of this EULA.


General

You agree to inform your employees or any other person having access to the Fable Type Foundry Software and copies thereof, of the terms and conditions of this Standard License Agreement and to ensure that they shall strictly abide by these terms and conditions. You agree that you will not export or re-export the Software in any form.

You agree not to sublicense, sell, lease or otherwise transfer the electronic data without the prior written consent of Fable Type Foundry.


Events Beyond Reasonable Control

Fable Type Foundry will not be liable for a delay or failure to perform its obligations if the delay or failure results from circumstances beyond its reasonable control. This includes (but is not limited to) acts of God, flood, fire, accident or impossibility of obtaining materials.


Assignment

You may not assign, charge, sub-contract, sub-license (unless expressly allowed to do so in this Agreement) or otherwise dispose of any of its rights or obligations under this Agreement without Fable Type Foundry’s prior written consent.


Severability

If any provisions of this Agreement are held to be invalid, illegal or unenforceable, then such provision(s) shall be severed from it, and the validity, legality and enforceability of its remaining provisions shall not be affected or impaired.


Changes to the EULA

As Fable Type Foundry operates in a changing technological environment, Fable Type Foundry reserves the right to adjust the EULA at any time. Changes will be effective instantly upon posting of the amended EULA to our website. You are responsible for ensuring You have read the latest EULA at your time of licensing.


Waiver

Waiver of any right(s) at any time shall not constitute waiver of any right(s) at any future time.


Proper Law

This Agreement shall be governed by and construed in accordance with the law of Singapore and international IP laws shall have exclusive jurisdiction to settle any dispute or claim.

Any and all rights not expressly granted in this Agreement are reserved to Fable Type Foundry.
